Partner Program and Partner Terms
As of 26 October 2026
With the Reelfox partner program you receive a commission when you recommend Reelfox and the customers you refer pay. These terms set out when a commission arises, how we settle and pay it out, and which advertising is allowed.
1. Contracting party and scope
(1) Your contracting party is Noosmedia, owner Ben Biallas, Im Brückfeld 12, 39114 Magdeburg, Germany, phone +49 391 88687150, email hallo@reelfox.de, VAT identification number DE463357624 ("we").
(2) These terms apply to participation in the partner program. The use of Reelfox itself continues to be governed by our Terms. If the two conflict, these terms take precedence for the partner program.
(3) You act as an independent partner. You are not obliged to advertise Reelfox or to refer a certain number of customers. Participation does not create an employment, commercial agency or partnership relationship. You may not make declarations on our behalf or conclude contracts for us.
2. Participation
(1) Consumers and businesses with their residence or registered office in a member state of the European Union who have a Reelfox account and are at least 18 years old can take part. You accept these terms in the customer area under "Partner program". We store the time and version of your acceptance. Participation is free of charge.
(2) Anyone taking part for a business must be authorised to represent it. Each person and each business may only have one partner account.
(3) There is no right to be accepted. We may decline a registration without giving reasons.
3. Partner link and attribution
(1) You receive a personal partner code and a partner link. The link leads directly to the Reelfox sign-up page. There your partner code is shown visibly in the "Partner code" field. The visitor can check, change or delete it.
(2) A customer is assigned to you if your partner code is in the "Partner code" field when they submit their sign-up. This also applies if they entered the code themselves. Only the code in the form at the moment of submission counts.
(3) We do not store anything in the visitor's browser to recognise them later and do not set cookies for this. If a visitor leaves the sign-up page without creating an account, your code is no longer stored afterwards. If they later create an account without your code, they are not assigned to you.
(4) Only new accounts are assigned, at the time of sign-up. We do not assign accounts later or change an assignment. If a referred customer objects to the assignment on data protection grounds and the objection is justified, the assignment lapses for payments made from the time of the objection.
(5) Self-referral is excluded. There is no commission for your own account, for further accounts of the same person, for accounts of your employees or for accounts of people who act on your behalf or at your expense.
(6) We count how often your partner link is opened. This figure is for your information only. It may include several visits by the same person and is not a basis for the commission.
4. Commission
(1) You receive 30% of the net amount that a customer assigned to you has actually paid on a Reelfox invoice. This applies to subscriptions, renewals, plan changes and credit packs. The net amount is the amount paid excluding VAT. The commission is rounded down to the full cent.
(2) Commission is paid for payments we receive within 12 months of the referred customer's sign-up. There is no commission for later payments by this customer.
(3) No commission arises for payments that are not received or do not finally remain with us, for example because of a direct debit return, a chargeback by the payment service, a refund or a withdrawal. Goodwill credits, free credits and free accounts are not payments.
(4) The commission is a net amount. If you are liable for VAT in Germany, we pay the statutory VAT on top (section 6).
(5) We set the prices, plans, discounts and offers of Reelfox freely. The commission is always based on the amount the customer has actually paid.
(6) No commission arises for payments received after your participation has ended or while your account is blocked. If the reason for a block turns out to be unfounded, section 10 (5) applies.
5. Pending, release and reversal
(1) Every commission is pending at first. It is released 14 days after the customer's payment, that is, after the withdrawal period has ended.
(2) If the underlying payment is refunded or charged back in whole or in part, or the customer withdraws from the contract, the commission lapses to the same extent. This also applies after release and after payout.
(3) If a commission that has lapsed was already paid out, we offset the amount against your next commissions. If these are not sufficient or your participation ends, we may claim the amount back. You then pay it within 30 days of our request. If we paid VAT on the commission, this also applies to the VAT. You receive a corrected statement for every reversal after a payout.
6. Self-billing and taxes
(1) We settle your commissions by self-billing (credit note, "Gutschrift"). By accepting these terms we agree on this in advance pursuant to Section 14 (2) sentence 5 of the German VAT Act (UStG). You do not issue an invoice to us. For each payout you receive a credit note with a sequential number in the customer area.
(2) For the credit note we need your full name or company name, your address and your VAT status. You choose one of the following in the customer area:
- Liable for VAT in Germany: you provide your tax number or VAT identification number. We show the statutory VAT on the credit note and pay it on top of the commission.
- Business established in another EU member state: you provide your VAT identification number. We do not show VAT. If we owe the tax as the recipient of the service, we note this on the credit note.
- Not liable for VAT: for example as a small business under Section 19 UStG or because you do not act as a business. We do not show VAT and state the reason on the credit note.
(3) Your details must be correct. If anything changes, for example because you no longer use the small business scheme, update your details in the customer area before the next payout. If we paid VAT that was not owed because of incorrect details, we may claim it back.
(4) If a credit note is wrong, please tell us. We will then issue a corrected credit note. Your statutory right to object to a credit note remains unaffected. An objection makes the credit note lose its effect as an invoice. For a payout that is still open we then need a corrected credit note or an invoice from you.
(5) You are responsible for paying tax on your income yourself and, where required, for registering a business. We do not withhold any taxes and do not give tax advice.
7. Payout
(1) You can request a payout in the customer area as soon as released commissions of at least 50 euros (net) are available. For this you provide the account holder, the IBAN of an account in the SEPA area and the details under section 6 (2). A request covers all commissions released at that time.
(2) We check your request and transfer the amount in euros within 30 days of receiving the complete request.
(3) You bear the fees of your own bank. If a payment fails because of incorrect account details for which you are responsible, you bear the consequences.
(4) If we have a specific suspicion of a breach of these terms, we may withhold a payout until the suspicion has been clarified. We will inform you of this with reasons and clarify the suspicion promptly.
8. Advertising
(1) You may only advertise Reelfox honestly and lawfully. You are responsible for your advertising, your website and your channels, including legal notice and data protection.
(2) Labelling: Advertising for Reelfox with your partner link or partner code is advertising, even if you use Reelfox yourself. You must label it as such (Section 5a (4) of the German Act against Unfair Competition (UWG), Section 6 of the German Digital Services Act (DDG)). On social networks, in videos and in podcasts, this is done with the word "Advertisement" or "Ad" (in German content "Werbung" or "Anzeige"), clearly visible at the beginning of the post or video, not hidden among hashtags or only after "Show more". On websites and in newsletters the notice is placed directly next to the link.
(3) In particular, the following is not allowed:
- Brand keywords and confusion: search engine advertising on the name Reelfox, on spellings, typos or combinations of it (for example "Reelfox login"), and naming Reelfox in the ad title or ad URL. Likewise domains, accounts, apps or page names that contain "Reelfox" or can be confused with it, pages that imitate our website, and the impression that you are Reelfox, act on our behalf or are an official partner.
- Spam: emails, text messages, messenger and direct messages without the recipient's prior express consent, also to businesses, as well as mass or identical comments and posts.
- Coupon, discount and cashback sites: spreading your link or code on such sites, calling it a coupon or discount, or promising discounts and rewards that Reelfox does not offer. Likewise passing on parts of your commission or other rewards to customers for signing up or paying.
- Misleading statements: false or outdated information about prices, features and results, promises of income, reach or success (for example "guaranteed to go viral" or "quick money with Reelfox"), "free" without pointing out the limits of the free allowance, and comparisons with competitors that are not substantiated.
- Reviews: invented reviews, testimonials or user numbers, presenting other people's reviews as your own or copying them without permission, and reviews on review platforms without disclosing that you receive a commission.
- Forced attribution: getting your partner code into the sign-up without the visitor's knowledge, for example through invisible windows, automatic redirects, pop-ups, browser extensions or software, and placing your code with people you have not referred yourself, for example under other people's posts about Reelfox.
- Fake sign-ups: sign-ups or payments that you initiate yourself in order to receive commission (section 3 (5)).
- Targeting minors: advertising aimed at people under 18.
- Infringements: content that is unlawful, infringes the rights of third parties or violates the rules of the platform used. You may only use our name and logo to refer to Reelfox and may not alter them.
(4) If we ask you to change or remove advertising that violates these terms or the law, you will do so without undue delay, at the latest within 48 hours.
9. Responsibility and liability
(1) If third parties, for example competitors, associations or authorities, make claims against us because of your advertising, you indemnify us against these claims, including reasonable costs of legal defence, to the extent that you are responsible for the breach. You support us in the defence with the information available to you.
(2) We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and where we have given a guarantee.
(3) In the case of slight negligence, we are only liable for breach of an essential contractual obligation, that is, an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose compliance you may regularly rely. In this case liability is limited to the damage typical for the contract and foreseeable at the time the contract was concluded. Otherwise our liability is excluded. These limitations also apply to our vicarious agents.
(4) We do not owe any particular income, sign-ups or payments by referred customers, nor constant availability of Reelfox or the partner area.
10. Term, termination and blocking
(1) Participation runs for an indefinite period.
(2) You can end your participation at any time without notice, in the customer area or by email to hallo@reelfox.de. If you delete your Reelfox account, your participation also ends. After deletion you can no longer request a payout in the customer area. Therefore end your participation and request the payout before deleting your account. If you have not done so, we pay out commissions under paragraph 7 on request to hallo@reelfox.de.
(3) We may terminate your participation with 30 days' notice in text form. In the same way we may end the partner program as a whole.
(4) The right of both sides to terminate for good cause remains unaffected. Good cause exists for us in particular if you seriously breach, or repeatedly breach despite a warning, section 3 (5) or section 8. In the case of a specific suspicion we may block your partner account until it has been clarified. While the account is blocked there are no new assignments, commissions or payouts. We will tell you the reason.
(5) If a suspicion turns out to be unfounded, we lift the block. Customers who signed up with your code during the block are then assigned to you retrospectively, and you receive commission for payments during the block as if there had been no block.
(6) Commissions that are based on a breach of these terms lapse. If you have intentionally breached section 8, we assume that assignments from the period of the breach are based on it. You may prove that this is not the case for individual assignments. Further claims remain unaffected.
(7) After your participation has ended there are no new assignments and no commissions for later payments. Commissions for payments up to the end that do not lapse under paragraph 6 are paid out after their release, even below the minimum amount of 50 euros, provided your payout details are available (final settlement).
11. Data protection
(1) Which data we process in the partner program is described in the Privacy Policy, section 9.1.
(2) You do not receive data of referred customers. You only see figures: visits to your link, sign-ups, paying customers, net revenue and, for each commission, the date and net amount of the invoice. We do not pass on names, email addresses or postal addresses.
(3) You are responsible yourself for the data you process in your own advertising, for example in a newsletter.
12. Retention of settlement data
We retain commissions, credit notes and payouts with the details required for settlement (name or company name, address, VAT details, account holder and IBAN at the time of payout) for as long as tax law requires, up to ten years from the end of the calendar year in which they arose (Section 147 of the German Fiscal Code (AO), Section 14b UStG). This also applies after your participation has ended and after your Reelfox account has been deleted. During this period the data is restricted and only used for tax purposes, audits and the establishment or defence of legal claims.
13. Changes to these terms
(1) We will notify you of changes by email at least six weeks before they take effect. They only apply to you once you accept them in the customer area.
(2) If you do not accept them by the date they take effect, your participation ends on that date. Section 10 (7) applies to commissions up to then.
(3) Each commission is governed by the version of these terms that applied at the time of the customer's payment.
14. Final provisions
(1) The law of the Federal Republic of Germany applies. For consumers, this choice of law only applies insofar as it does not deprive them of the protection of mandatory provisions of the state in which they have their habitual residence.
(2) If you are a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from participation is Magdeburg.
(3) These terms are available in German and English. The language in which you accepted them is authoritative.
(4) If a provision of these terms is invalid, the remaining provisions remain valid. The statutory provision takes the place of the invalid provision.
